Frequently asked questions

Choice of law is important. UAE law (DIFC, ADGM or mainland) is common for UAE-focused contracts. For international transactions, English law is frequently chosen for its predictability and the availability of DIFC court enforcement. The choice should align with where disputes are likely to be resolved and where counterparties’ assets are located.
Potentially yes, but they are extremely difficult to prove. UAE civil and commercial law recognises oral contracts in principle, but without documentary evidence, proving the terms of an oral agreement in court is unreliable. For any significant commercial relationship, a written contract is always strongly recommended.
 
Critical provisions include: precise scope of services or goods, payment terms and consequences of default, liability caps and exclusions, intellectual property ownership, confidentiality, termination rights and consequences, force majeure, dispute resolution (arbitration vs litigation), and governing law. Omitting any of these creates uncertainty.
B2B contracts typically cap liability at a multiple of the contract value (e.g., 1x or 2x annual fees) and exclude indirect and consequential losses. UAE courts will enforce reasonable limitations, but not blanket exclusions for fraud or wilful misconduct. Caps must be specifically agreed and clearly drafted to be effective.

Yes, but the process matters. UAE law requires formal notice before termination for breach unless the contract provides otherwise. A clear termination for convenience clause, with a specified notice period, gives greater flexibility. Terminating incorrectly can expose you to a wrongful termination claim.
