Scope of work

  • Prepare the board resolutions and shareholder resolutions to initiate the company’s dissolution.
  • Manage the appointment of a registered liquidator.
  • Oversee the liquidation process, including the cancellation of visas, closure of bank accounts, and settlement of liabilities.
  • Prepare and submit the final liquidation report and all necessary de-registration applications to the authorities.

Bankruptcy under Federal Law No. 9 of 2016 is a specific insolvency procedure for businesses seeking either formal restructuring or orderly liquidation.
Yes, in certain circumstances. Directors who knew the company was insolvent and continued trading, or who misappropriated assets, can face personal liability under UAE insolvency law and potentially criminal prosecution. Bounced cheques associated with the company’s operations create direct personal criminal exposure.
 
A straightforward voluntary liquidation of a solvent company typically takes three to nine months. The process involves shareholder resolution, appointment of a liquidator, publication of a notice for creditors, settlement of liabilities, deregistration of visas and licenses, and final deregistration with the relevant authority.
Employees are entitled to all accrued salaries, end-of-service gratuity and any other contractual entitlements. These rank as priority claims in the liquidation, above unsecured creditors. Work permits and residence visas are cancelled as part of the process. The employer bears responsibility for managing this in an orderly manner.

Yes. The UAE Bankruptcy Law provides for formal restructuring procedures, including court-supervised composition and preventive composition, as alternatives to liquidation. Out-of-court restructuring with creditor agreement is also possible. These options preserve the business and are preferable where the underlying enterprise has genuine value.
