Foundation, Group Restructuring and Transgenerational Transmission

We support the restructuring of a group of companies held ultimately by the founders and assist in restructuring the organisation to enable a successful transmission to future family generations and business continuity.

In-depth description

Foundation Setup services assist in establishing foundations.

  • This includes drafting legal documents, ensuring compliance with regulations, and obtaining necessary approvals.
  • The service provides guidance on structuring governance, operational frameworks, and tax benefits, enabling clients to create impactful, legally sound foundations that align with their family transmission goals.
  • This is one of the most complex services the Firm offers to its client and it starts with an in-depth review of the group structuring and end with implementation of Founder’s letter of wishes.

Scope of work

  • Conduct an in-depth review of the existing family group structure and succession objectives.
  • Design a comprehensive restructuring plan, often involving the setup of a Foundation (e.g., in ADGM/DIFC) as the ultimate holding vehicle.
  • Draft all legal documentation, including the Foundation Charter, By-Laws, and letters of wishes from the Founder.
  • Manage the legal implementation of the restructure, including the transfer of group company shares to the Foundation.

Price range

AED 150,000 to AED 1,000,000 (Hourly rate for the structuring and drafting of documents and policies and fixed fees for the set-up or closure of entities. The overall fees depends on the complexity of the group structure and the family organization)

Deliverables

  • A comprehensive Group Restructuring and Succession Plan.
  • The fully established and registered Foundation.

Is your family business ready for the next generation?

Do you own a group of companies you plan to pass on?

Without a structured transmission plan, business continuity is at risk when the founding generation steps back.

Are you concerned about disputes between future heirs?

A Foundation and governance framework sets clear rules that prevent family conflicts from threatening the business.

Have you ever mapped your full group structure legally?

Most founder-owned groups have gaps in their legal structure. Identifying and fixing them early protects everyone.

Is your succession plan documented and legally binding?

A letter of wishes and Foundation Charter, properly drafted, gives your succession plan legal force and lasting clarity.

Frequently asked questions

Transgenerational planning structures the transfer of business assets and wealth across generations, typically from founders to their children and grandchildren, in a way that preserves the family enterprise, minimises tax, avoids forced heirship fragmentation and maintains governance coherence over time.
Yes, in many structures the founder retains a life income interest or usufruct while transferring ownership to the foundation. This provides financial security during your lifetime while ensuring a clean succession. The specific mechanics depend on the foundation jurisdiction and the applicable tax rules.

A family foundation serves private family purposes: succession, asset protection, family governance. A charitable foundation is established for a public benefit purpose. Both exist in DIFC and ADGM but serve different goals. Family foundations can include charitable giving elements as part of their objects.
Complex restructurings involving multiple jurisdictions and asset classes can take six to eighteen months. Simpler structures can be completed in two to four months. Timeline depends on regulatory approvals, tax advice, third-party consents, and the speed at which all parties provide required information.

The foundation remains in its registered jurisdiction regardless of where you live. However, your new country of residence may have different reporting requirements for foreign foundations or trusts. Some jurisdictions, like France, require formal disclosure and may treat the foundation’s assets as part of your taxable estate.
