Is your funding round structured to protect your interests?

Are you raising capital from outside investors?

First-time fundraising involves term sheets and investor rights that founders often misunderstand until it is too late.

Have investors sent you a term sheet you are unsure about?

Term sheets set the terms for all future rounds. Accepting unfair terms early creates compounding dilution and control loss later.

Do you have shareholders whose rights could be affected?

New investment rounds need careful management of pre-emption rights and anti-dilution clauses. Get it right from the start.

Is your company structure investor-ready?

Investors expect clean cap tables, proper corporate documents, and no legal gaps. We prepare you before the first conversation.

Frequently asked questions

A fundraising round typically involves: a term sheet, a shareholders’ or subscription agreement, amended articles of association reflecting new share class rights, a disclosure letter or data room, investor rights agreements, and board/shareholder resolutions. For regulated activities, additional regulatory filings may be required.
A SAFE (Simple Agreement for Future Equity) is an instrument where an investor provides capital now in exchange for the right to equity at a future priced round. SAFEs are used in the UAE startup ecosystem and in DIFC structures, but require careful legal analysis of UAE company law and securities rules to ensure they are properly structured.

Common investor protections include: anti-dilution rights, pro-rata rights for future rounds, information and inspection rights, reserved matter vetoes, drag-along provisions, liquidation preference, and a seat or observer right on the board. The extent of these rights depends heavily on the investor’s stake and negotiating position.
Yes. UAE companies can issue shares to foreign investors, subject to applicable ownership limits for the chosen structure. DIFC and ADGM allow flexible share structures attractive to international investors. Cross-border investment triggers UBO reporting obligations and may require regulatory filings in the investor’s home jurisdiction.

A cap table lists all shareholders, option holders and instruments, showing fully diluted ownership. Investors check cap tables carefully. Undisclosed commitments or messy equity histories can delay or derail a round. A clean, well-documented cap table is straightforward to maintain but very difficult to fix at a late stage in a deal process.
