Frequently asked questions

ESR requires UAE entities conducting certain ‘relevant activities’ (holding, distribution, intellectual property, financing, banking, etc.) to demonstrate that the activity is genuinely conducted in the UAE. This means adequate employees, physical presence, management decision-making and expenditure locally. Breaches attract significant penalties.
UAE VAT registration is mandatory for businesses with taxable supplies exceeding AED 375,000 per annum. Voluntary registration is available from AED 187,500. Most B2B services, goods and commercial real estate transactions are standard-rated at 5%. Certain supplies are zero-rated or exempt.
 
UAE companies must maintain a UBO register identifying individuals who directly or indirectly own more than 25% of shares or have effective control. This register is filed with the relevant authority and must be kept up to date. Non-compliance with UBO reporting rules attracts fines and potential license suspension.
Anti-Money Laundering obligations apply broadly in the UAE, not just to banks. Designated Non-Financial Businesses and Professions (DNFBPs) including lawyers, accountants, real estate agents and company service providers have registration, risk assessment, customer due diligence and reporting obligations.
